By accessing or using ThesisOS.ai (the “Platform”), operated by ThesisOS (“Company,” “we,” “us”), you (“User,” “Chairman,” “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, do not use the Platform. Your continued use of the Platform following the posting of any changes constitutes acceptance of those changes.
ThesisOS is an AI-powered business operating system that generates business plans, roadmaps, financial projections, milestone structures, and associated deliverables based on user-provided inputs. The Platform may also facilitate connections with third-party contractors and service providers for execution of generated plans. ThesisOS does not guarantee the creation of a profitable or functional business.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK.
All financial projections, revenue estimates, timelines, market analyses, and strategic recommendations generated by the Platform’s AI (“AI CEO”) are purely hypothetical, speculative, and for informational purposes only. They do not constitute financial advice, investment advice, legal advice, or any professional recommendation.
No Guarantee of Revenue or Profit. The Platform makes absolutely no representation, warranty, or guarantee that any business plan, strategy, or projection generated will result in revenue, profit, or commercial success of any kind. Past performance of similar business models is not indicative of future results.
You assume 100% of the financial, operational, legal, and reputational risk associated with any business you create, fund, operate, or promote based on outputs from the Platform.
All business plans, code, design assets, copy, strategies, budgets, milestones, and any other deliverables generated by the Platform’s AI systems are provided strictly “AS-IS” and “AS-AVAILABLE” without warranties of any kind, whether express or implied.
We explicitly disclaim all warranties, including but not limited to:
You are solely responsible for reviewing, testing, auditing, and validating all AI-generated outputs before deploying them in any production environment, commercial operation, or public-facing capacity.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
In no event shall our total aggregate liability exceed the amount you have paid to us in the twelve (12) months preceding the claim.
ThesisOS Pro is a recurring subscription billed at $29/month via Stripe. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds will be issued for partial months or unused features.
Milestone funding payments are processed via Stripe and held in accordance with our escrow procedures. Release of escrowed funds is contingent upon your approval of deliverables. Disputes regarding milestone deliverables are subject to our internal review process, the outcome of which is final.
Upon payment, you retain ownership of the specific business plans, strategies, and deliverables generated for your account. However, the Platform retains all rights to the underlying AI models, algorithms, system prompts, UI components, and platform infrastructure. You may not reverse-engineer, replicate, or resell the Platform’s core technology.
You agree not to use the Platform to:
You agree to indemnify, defend, and hold harmless the Company and its affiliates from any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Platform; (b) any business you create or operate based on Platform outputs; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.
We reserve the right to suspend or terminate your account at any time, for any reason, with or without notice. Upon termination, your right to access the Platform ceases immediately. Sections relating to liability, indemnification, and intellectual property survive termination.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association, with proceedings conducted in Wilmington, Delaware. You waive your right to a jury trial and to participate in class action lawsuits.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification. Continued use after changes constitutes acceptance.
